These Terms of Service ("Terms") govern your access to and use of FlowChat, a chat automation platform operated by Empire Marketing ("FlowChat," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
FlowChat lets businesses build automated messaging flows, manage a shared inbox, run broadcasts, and track leads across Instagram, Facebook Messenger, WhatsApp, and other supported channels. Some features depend on APIs and services provided by Meta Platforms, Inc. and other third parties, which we do not control and which may change or become unavailable at any time.
You must be at least 18 years old and able to form a binding contract to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Certain features require a paid subscription. Fees, billing frequency, and plan limits are described at checkout or in your account's Billing settings. Unless stated otherwise, subscriptions renew automatically until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and we do not provide refunds for partial periods except where required by law.

You are solely responsible for obtaining any consent required by law or by a connected platform's policies before messaging your contacts, and for the content of the flows and messages you create.
The Service integrates with Meta Platforms, Inc. products (Instagram, Messenger, WhatsApp) and may integrate with other third-party platforms. FlowChat is not created by, affiliated with, or endorsed by Meta. Your use of those platforms through FlowChat is also subject to their own terms and policies, and your channel access may be suspended or terminated by the platform provider independent of FlowChat.
As between you and FlowChat, you retain ownership of the contact data, message content, and other content you upload or generate through the Service ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide the Service to you. You are responsible for ensuring you have the rights necessary to provide Customer Data to us.
FlowChat and its licensors retain all rights, title, and interest in the Service, including its software, design, and trademarks. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as permitted here.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CONNECTED THIRD-PARTY PLATFORM WILL REMAIN AVAILABLE OR UNCHANGED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWCHAT AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
You agree to indemnify and hold FlowChat harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable law.
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, misuse the Service, or if required to do so by a connected platform provider such as Meta. Upon termination, your right to use the Service ends immediately; provisions that by their nature should survive termination will survive.
These Terms are governed by the laws of the United States and the state in which Empire Marketing is established, without regard to conflict-of-law principles, unless otherwise required by applicable law.
We may update these Terms from time to time. We will post the updated Terms here with a new "Last updated" date, and material changes will be communicated to Customers in advance where required.
